DEMCO registered as company limited on June1, 1992 with registered capital MTHB 6 by a group of engineers experienced more than 20 years in transmission line & distribution line system and substation works.

At present, the company manages the business as one stop complete range of services for design, construction, and installation in electrical power system, including renewable energy like wind and solar, and communication system, like fiber optic and signaling as well. DEMCO factory in Lopburi has manufactured steel supporting structures for high voltage substation equipment installation and for bill board fixing and manufactured steel towers for transmission line stringing and radio broadcasting. About trading, DEMCO has sold electrical hardware accessories for electrical system stringing, construction material, and communication equipment. By the way, DEMCO has fully carried out in development energy system as an investor for both domestic and international market.

Year 1992 - 2003

DEMCO’s factory has begun to manufacture steel supporting structure and steel tower in 1994 under the support of BOI by issuing investment supplementary card and at the same year the company has been awarded for the first project from PEA, procurement and installation 22 – 33 kV distribution line for central and southern region of Thailand. In 1995, the hot dip zinc bath size 1.2 x 4.0 x 1.5 m has been ready for hot galvanizing of steel structure, steel truss, and fixing accessories like bolt, nut etc. At the same time, our service works have advanced to the first private projects- 115/22 kV substation construction for Honda and Rojana industrial park at Ayuthaya. Besides this, the company has extended scope of service for installation works to low voltage system customers in industrial factories such as Siam steel wire (Subsidiary of Thai cement), UMC, and Thai nam tip (Pepsi).

In 1996, DEMCO has begun E & M works by design and installation cooling system for industrial factory and government service i.e. Tire retreading factory for plane at Saraburi province, EGAT training center at Bang pa kong Cholburi province. DEMCO has got first experience for power system underground cable laying for EGAT at Srinagarind Dam Kanchanaburi province and for 115 kV transmission line construction for PEA and private sector such as Amata – Egco power in 1997. In 2001, DEMCO has stepped forward to telecommunication work by procurement, foundation construction, and erection telecommunication supporting towers fixing with equipment such as antenna, microwave receiver etc. for both private sector and government sector for example PEA, Department of local Administration, DTAC, Alcatel, Motorola (Thailand), and Orange. In 2003, the company has been registered to be a consultant for energy conservative by Department of Alternative Energy Development and Efficiency and has performed the consulting for private and government sectors i.e. Lampang Rajabhat university, Maejo university, Chiang Mai Phucome hotel, and Suanprung hospital at Chiang Mai province.

Year 2004

For year 2004, the company has had the first installation fiber optic work by blowing method-pressurized air of cable laying for PTT gas piping project at Hat Yai Songkhla province of which Trans Thai-Malaysia Co., Ltd. was the owner. And DEMCO factory has begun to manufacture steel structures for bill board supporting for Master ad public company limited in this year.

For this year, the company invested in the other 4 non core business companies; DEMCO Pattana Panich, N.E.C. Reinforced Concrete, Numchai Pattana Engineering (1996), and Anusorn Service (2004) Co., Ltd. and closed down 2 companies, DEMCO-Heritage Land and DEMCO Property Development Co., Ltd., to reorganize business structure.

Year 2005

For year 2005, our factory got ISO 9001: 2000 standardize system from Anglo Japanese American (AJA) Registrars for manufacturing metal forming works such as steel structure, steel tower, and fixing work pieces like bolt, nut etc. for electrical system. DEMCO’s registered capital increased from MTHB 142 to MTHB 160 in this year by issuing to the previous shareholders at par value (THB 100 per share) for revolving funds.

Year 2006

For year 2006, the company has been transformed into public company limited since May 26, 2006 and increased registered capital from MTHB 160 to MTHB 215 at THB 1 par value and allocated to interested people 50 million shares and to accommodate the warrants representing the right to purchase for directors, executives, and employees 5 million shares. DEMCO has been registered in MAI stock market since December 14, 2006.

Year 2007

For year 2007, the company closed down and settled an account for Ali Katun Co., Ltd. in March 16, 2007 due to high operation cost and marketing policy changing from Bangladesh to Southeast Asian countries.

In this year, DEMCO increased registered capital from MTHB 215 to MTHB 328.9 according to the resolution of extraordinary shareholder meeting 1/2007 dated September 26, 2007 by issuing common stock 113.9 million shares at THB 1 par value allocating for dividend payment 52.8 million shares, for specific shareholders 60 million shares, and to accommodate the warrants representing the right to purchase the newly issue ordinary shares for directors, executives, and employees 1.1 million shares.

Year 2008

For year 2008, the resolution of extraordinary shareholder meeting 1/2008 dated January 10, 2008 approved to reduce registered capital from MTHB 328.9 to MTHB 268.9 by cutting out 60 million unsold ordinary shares allocated for specific shareholders and increased registered capital from MTHB 268.9 to MTHB 357.9 by issuing 89 million ordinary shares at THB 1 par value and allocated 88.6 million shares to accommodate the warrants representing the right to purchase newly issued ordinary shares which mentioned by holder name and convertible as the 1st time for the present shareholders (DEMCO-W1) and allocated 0.4 million shares to accommodate the warrants representing the right to purchase newly issued ordinary shares which mentioned by holder name but unconvertible for directors, executives, and employees.

Next, the resolution of extraordinary shareholder meeting 2/2008 dated September 17, 2008 approved to increase registered capital from MTHB 357.9 to MTHB 402.3 by issuing 44.4 million ordinary shares at THB 1 par value and allocated 33.4 million shares to accommodate the dividend share payment and allocated 11 million shares to accommodate the warrants representing the right to purchase newly issued ordinary shares which mentioned by holder name and convertible for the present shareholders (DEMCO-W1) due to right converting from dividend share payment.

The company has invested in JPM inter Co., Ltd. since January 15, 2008 (Right now changed to DEMCO industry Co., Ltd.) that performing service business for high pressure vessel, high pressure piping, and mechanic equipment at the portion 45% of paid registered capital.

Year 2009

For year 2009, the resolution of ordinary shareholder meeting for year 2009 dated April 9, 2009 approved to reduce registered capital from MTHB 402.3 to MTHB 401.9 by cutting out 0.4 million unsold ordinary shares, the rest from the ones allocated to accommodate the warrants representing the right to purchase newly issued ordinary shares which mentioned by holder name but unconvertible for directors, executives, and employees (ESOP) due to the expire of the warrants and no longer be employees.

The resolution of extraordinary shareholder meeting 1/2009 dated October 22, 2009 approved to increase registered capital from MTHB 401.9 to MTHB 451.9 by issuing 50 million ordinary shares at THB 1 par value and allocated 43.5 million shares to accommodate the warrants representing the right to purchase newly issued ordinary shares which mentioned by holder name and convertible as the 2nd time for the present shareholders (DEMCO-W2) and allocated 6.5 million shares to accommodate the warrants representing the right to purchase newly issued ordinary shares which mentioned by holder name and convertible as the 1st time for the present shareholders (DEMCO-W1)

Year 2010

For year 2010, the resolution of extraordinary shareholder meeting 1/2010 dated May 27, 2010 approved to add more company objectives in memorandum of association from 48 topics to 59 topics to cover the business expansion the company interested to invest more both services and trading sectors.

The resolution of extraordinary shareholder meeting 2/2010 dated July 23, 2010 approved to reduce registered capital from MTHB 451.9 to MTHB 435.4 by cutting out 16.5 million unsold ordinary shares, the rest from the ones allocated to accommodate the warrants representing the right to purchase newly issued ordinary shares which mentioned by holder name and convertible as the 1st and 2nd times for the present shareholders (DEMCO-W1, DEMCO-W2) due to the expire of the warrants at March 26, 2010 and June 10, 2010 accordingly and then increased registered capital from MTHB 435.4 to MTHB 635.4 by issuing common stock 200 million shares at THB 1 par value and allocated 110 million shares to accommodate the warrants representing the right to purchase newly issued ordinary shares which mentioned by holder name and convertible as the 3rd time for the present shareholders (DEMCO-W3), allocated 74 million shares to accommodate the warrants representing the right to purchase newly issued ordinary shares which mentioned by holder name and convertible as the 4th time for the present shareholders (DEMCO-W4), and accommodate 16 million shares to accommodate the warrants representing the right to purchase the newly issue ordinary shares which mentioned by holder name but unconvertible as the 2th time for the for directors, executives, and employees (ESOP#2).

The resolution of the company board meeting 6/2010 dated August 16, 2010 approved to purchase company shares back in stock market for the appropriate financial management of amount not more than MTHB 214 for 40 million shares or 9.19% of total sold shares during August 30, 2010 – March 1, 2011. At the date end, the company purchased the shares back totally 32.48 shares of amount MTHB 165.16 or 7.33% of paid capital.

Year 2011

For year 2011, the company moved stock registration from mai stock market to SET stock market on February, 4 2011.

The extraordinary shareholder meeting 1/2011 dated June 27, 2011 adopted the company to invest in AEOLUS Power Co., Ltd. (AEOLUS) while AEOLUS has hold share portion 60 % in First Korat Co., Ltd. (First) and KR2 Co., Ltd. (KR2) who have been executing in wind farm projects at Huay Bong3 and Huay Bong2 Dankhuntod Nakhonratchasima for 103.5 MW generating power each and supply to EGAT 90 MW each. And adopted the company to issue newly 363,538,157 common shares at THB 1 par value and allocated as follows;

  1. Allocated 316,828,627 shares to be sold all at the same time or different time to present company shareholders exercising the reserved right according to be specified in the registered book complying with the share holding portion 2:1 of present share: newly share and the fraction shall be neglect. The present shareholders might buy the shares Excess Rights if the committee or the one authorized considered to approve to allocate from the portion of the shareholders who did not utilize their rights.
  2. Allocated 46,709,530 shares to be reserved to accommodate the warrants representing the right to purchase newly issued ordinary shares which mentioned by holder name and convertible as the 3rd and 4th times for the present shareholders (DEMCO-W3, DEMCO-W4) and by holder name but unconvertible as the 2th time for the for directors, executives, and employees (ESOP#2).

Year 2012

For year 2012, the extraordinary shareholder meeting 1/2012 dated October 17, 2012 adopted the company to reduce registered capital from MTHB 999 to THB 635,461,843 by cutting out the unsold ordinary shares issued according to the resolution of extraordinary shareholder meeting 1/2011. The company registered for capital decrease to Ministry of Commerce on November 1, 2012 and be approved to transfer steel structure business that be supported from BOI acc.to investment card No. 2232(2)/2550 to be managed by a subsidiary company, DEMCO power Co., Ltd.

Year 2013

For year 2013, the Board of Directors' meeting 5/2013 dated May 28, 2013 had a resolution to invest more in DEMCO industry Co., Ltd. 100% and in the extraordinary meeting of shareholders 1/2013 dated May 30, 2013 had the resolution as follows;

  1. Approved to invest in Wind Energy Holding Co., Ltd. ("Wind Energy") by purchasing additional 5,263,158 shares or equivalent to 5% of total Wind Energy's shares. After utilization the right to purchase the ordinary shares allocating to the present shareholders according to the portion of Rights Offering finished on June 30, 2013, the company had invested more in Wind Energy for 4,210,526 shares or equivalent to 4% of total Wind Energy's shares for the amount MTHB 800.
  2. Approved to decrease company registered capital down of amount THB 6,425,917 by cutting out the unsold 6,425,917 shares setting par value THB1 per share. So it would be THB 629,035,926 instead of THB 635,461,843.
  3. Approve to increase company registered capital up of amount THB 317,492,174 by issuing the 317,492,174 common shares setting par value THB1 per share.
  4. Approve to allocate the newly issued common shares as follows;
    • 125,807,186 shares for the present shareholders according to the portion of Rights Offering 5:1 of present : new at sold price THB 10 per share and on the RO date, June 30, 2013, the shareholders utilized their rights to purchase the 60,885,657 common shares so the company gained the amount THB 608,856,570 and the company has registered the increased capital since July 4, 2013 and the SET has obtained the common shares for registered assets since July 9, 2013.
    • 78,629,492 shares to accommodate the warrants representing the right to purchase newly issued ordinary shares DEMCO-W5 and 78,629,579 shares to accommodate the warrants representing the right to purchase newly issued ordinary shares DEMCO-W6 by allocate to the present shareholders who reserved the right at the portion 1.6:1 of present : new at sold price THB 12 per share for DEMCO-W5 on the last date February 5, 2015 and at sold price THB 15 per share for DEMCO-W6 on the last date February 5, 2016

      After the RO date, the shareholders utilized their rights to purchase the 38,053,393 common shares for DEMCO-W5 and 38,053,393 common shares for DEMCO-W6 and the SET has obtained the common shares for registered assets since July 26, 2013.
    • 28,000,000 shares to accommodate the warrants representing the right to purchase newly issued ordinary shares for directors, executives, and employees DEMCO-ESOP3 at sold price THB 15 per share and 6,425,917 shares to accommodate the warrants representing the right to purchase newly issued ordinary shares for directors, executives, and employees DEMCO-ESOP2 for the remaining portion from the accommodation the warrants representing the right of March 29, 2013.
    • The remaining from a. for Private Placement at the sold price not lower than THB 10 per share and not lower than 90% of market price.

Year 2014

The Company expanded business line to invest in solar plant, both solar rooftop and solar farm, to obtain steady cash-in flow.

At the end of 2013 continuing to 2014, the Company has invested with 3 associate companies, Udon Thani solar power Co., Ltd., Mekhong green power Co., Ltd., and Indochina green energy Co., Ltd. in solar farm power supply 0.998 MW of each farm located in Udon Thani and Nong Khai province according to the resolution of Board of Directors No. 11/2013 dated December 6, 2013 to hold 45.75 % share portion. The COD has been begun since October 2014.

Year 2015

DEMCO De Lao Co., Ltd. (DDL) got a concession of water treatment and supply at Ban Phanom, kwaeng luang pra-baang, the Lao PDR for 30 years, May 5, 2015-May 4, 2045, under “BOOT” investment pattern (Build, Own, Operate, and Transfer) so finally, the ownership of the water plant will be transferred to Lao PDR government after final extension of the concession (The proposal for concession extension, 10 years, shall be submitted to the government to consider at least 5 years before the end of the concession). According to Lao PDR regulator, no concession fee for the first 3 years, then the fee will be constantly charged USD 500 per year for 5 years later and it will be increased 5% every 5-year- period. DDL signed a 30-year water supply sale contract with Lao PDR enterprise of national water supply on December 7, 2015 and it was expected for COD in 2nd quarter of 2017. The contract extension shall be mutually considered by both parties.

The capital increase be gained from the exercise of warrants DEMCO-W5 and changed registered paid-up capital from THB 692,832,900 to THB 730,332,568 coinciding with the case DDL increased registered capital from MUSD 0.30 to MUSD 19.50 as specified in registration concession dated June 22, 2015. DDL has registered for the capital of the first time at the rate 20% which DEMCO PCL paid for the stocks of amount MTHB 124.05 to DDL during the year 2015.

Year 2016

The ordinary general shareholders meeting of 2016 had a resolution to decrease the Company’s registered capital from THB 946,528,100 to THB 822,683,573 by cutting the 41,712,468 common shares not yet sold out from the exercise of warrants DEMCO-W5, 78,617,459 shares of warrants DEMCO-W6, and 3,514,600 shares of warrants DEMCO-ESOP2 for totally 123,844,527 shares at THB 1 par value. This was because of the expiration of the mentioned Warrants and the revision of the Company’s Memorandum of Association article 4.

Year 2017

Since July 15, 2017, DEMCO Power Co., Ltd. (a subsidiary) was certified by EGAT as the one who authorized to supply steel towers for EGAT up to 500 kV system voltage so it means, currently, the steel structures or steel towers of all voltage range that be supplied by DEMCO Power Co., Ltd. can be accepted by EGAT.

DEMCO De Lao Co., Ltd. (a subsidiary) has begun the commercial trade of water supply to Luang pra-baang Water Supply Enterprise.

Year 2018

The Company presented the remaining wind turbine foundations remedy plan to the employer for consideration. While awaiting approval, the Company recorded expenses account for wind turbine foundations remedy and compensation for losses from electricity sales shortage as special item in 2018 in the amount of 86.29 million baht.

Year 2019

In 2019, the Company completed the remedy of 81 wind turbine foundations for the mentioned wind energy project. The expense was recorded as a special item in 2019 of amount 172.25 million baht. The employer is currently inspecting the work which is the delivery for whole the project.

During 2019, DEMCO De Lao Company Limited (subsidiary) called for additional value of shares worth 50.95 million baht, resulting in the value of investment for DEMCO De Lao Company Limited as of December 31, 2019, increasing from 350.73 million baht to 401.68 million baht. Later, on September 2, 2019, DEMCO De Lao Company Limited decreased its registered capital by a value of 4.50 million US dollars. This caused the registered capital as of December 31, 2019, worth 15 million US dollars.

Year 2020

DEMCO has completed remedy the 81 wind turbine foundations in the Huay Bong 1 and Huay Bong 2 projects. Currently, the employer is still inspecting the work which is the delivery and inspection of the entire project. In addition, the Board of Directors has approved a long-term plan for organizational development as follows: Organization Development Years: 2020 -2022, in which DEMCO has restructured the organization to have a shorter chain of command causing work process more convenient and faster, Mr. Phongsak Siricupta had also been appointed as Chairman of the Executive Committee and Mr. Paitoon Gumchai was the Managing Director. There has been a Pull Resource restructuring in the group of companies and bring technology systems into use in the work process to reduce the Company's costs.

Year 2021

In 2021, DEMCO De Lao Company Limited had average water sales of 7,300 cubic meters per day and had income from sales of Mobile Plant and Monitoring & Control in 2020 and 2021 in the amount of 7.83 million baht and 10.39 million baht, respectively. During 2021, a subsidiary company changed its name from the original name of “DEMCO Industry Co., Ltd.” to “DEMCO Energy and Utility Co., Ltd” on March 1, 2021. It currently has a registered capital of 260 million baht and a paid-up capital of 190 million baht to conduct business related to power plants, energy and utilities business management including the construction of civil works and various types of pressure pipe system.
